(hereinafter, “DEALER”), for a
one year period from the effective date of this document, as a DEALER in the
location(s) and trading area(s) listed below (“TRADING AREA”) for products
marketed and sold under the BAKER
trade names and licensed mark(s):
(以下简称“经销商”),经销协议自本文件的生效日起的一年内有效,经销商可在下列授权地点及贸易区域内按Baker家具的商业名称及注册商标来销售本产品:
BAKER Furniture (hereinafter “PRODUCTS”). DEALER understands that BAKER has
implemented various policies,
including the attached internet policy (“INTERNET POLICY”) that may be modified
from time to time at BAKER’S discretion.
BAKER 家具 (以下称为“产品”)。经销商知晓BAKER 家具实施了一系列的政策,包括附带的网络销售政策(网络政策),但BAKER 家具可在认为必要时对这些政策随时作出修改。

NOW, THEREFORE, DEALER understands the following as
contingencies of this authorization:

a)
Adhere to the terms of the DISPLAY POLICY, as follows:
遵守显示政策的有关条款,详情如下:
DEALER will purchase PRODUCTS directly from BAKER.
经销商将直接从BAKER家具购买本产品。
DEALER will ensure that PRODUCTS,
under the BAKER label, are adequately and completely presented to the Trading
Area.
经销商须确保BAKER家具的商标标签将在贸易区域内足够多地、全面地展示。
The adjudication of what constitutes
adequacy and completeness of presentation in the Trading Area remains solely
the discretion of BAKER.
是否在贸易区内足够全面地展示,其解释权完全属于BAKER家具。
DEALER agrees to abide strictly by BAKER’s
guidelines regarding the appropriateness of display and general management and
sales policies applied in the Trading Area with respect to PRODUCTS under the
label BAKER.
经销商同意严格遵循BAKER家具就其旗下之标签展示是否妥当,以及在贸易区的整体管理及销售政策的指导方针。
DEALER further agrees promptly and in
an orderly fashion to make any adjustments or changes in the manner in which
PRODUCTS are displayed in Trading Area or in the channels of distribution of
PRODUCTS as may be deemed necessary or mandated by BAKER from time to time.
经销商进一步同意,在BAKER家具认为必要或政策调整时,立即就产品在贸易区内的展示方式或产品分配方式做出有序的调整。
DEALER will assure that PRODUCTS are
displayed in exhibitions of contiguously displayed BAKER PRODUCTS, in its own
stores or stores of designated sub-dealers, in a minimum quantity as deemed
appropriate and agreed upon from time to time between BAKER and DEALER.
经销商应确保BAKER家具的产品将在经销商自己的商店或指定分销商的商店中以BAKER家具的形式连续展示,最少展示量应由BAKER及经销商进行时时加以磋商并达成一致。

DEALER will exercise diligence to ensure that such
displays are maintained according to BAKER’s requirements.
经销商应恪守勤勉原则,按BAKER家具的要求确保此种连续展示。
BAKER reserves the right, at its sole
discretion, to determine the adequacy of these displays of PRODUCTS, and to
require changes as it deems appropriate.
BAKER家具保留其确定本产品的展示是否适当的权利,并要求作出相应修改。
BAKER
will communicate any request for alterations to DEALER, in writing, by email,
fax, courier or air or surface mail, and DEALER will immediately comply with
BAKER’s requests to the best of its ability.
BAKER家具如欲提出任何变更要求,应以书面形式通过电子信函、传真、专送邮件、航空邮件或普通邮件通知经销商,经销商应立即尽其全力执行BAKER家具的要求。
BAKER
reserves the right to determine, at its sole discretion, the adequacy of these
measures.
BAKER家具保留确定这些措施是否适当的权利。
DEALER will ensure that PRODUCTS are displayed
to promote maximum sales of PRODUCTS to customers in the TRADING AREA and to
achieve minimum annual purchases
from BAKER also as agreed from time to time.
经销商应按双方协商,确保产品在贸易区内的展示可最大程度地促进产品的销售,并实现从BAKER家具购买的最低年购入量。
b)
Adhere to the terms of the INTERNET POLICY, attached
and included by reference as an integral part of this Authorization.
遵守附录的互联网政策之条款,其内容为本授权书不可分割的部分。
c)
Ensure that DEALER’S employees, and anyone selling
PRODUCTS on behalf of or under the auspices of DEALER, are competent and fully
trained in the sale of PRODUCTS, by actively participating in BAKER sales
training programs, and familiarizing staff with BAKER literature and
promotional materials.
确保经销商的雇员,及任何代表经销商或受经销商赞助的从事产品销售的人员能够胜任产品的销售,获得充分的培训,即让他们积极参与BAKER家具举办的销售培训项目,使其员工熟悉BAKER家具的相关资料及促销信息。
d)
Receive all PRODUCTS only in appropriate store or
warehouse facilities prior to their delivery to the consumer, unpacking,
inspecting, deluxing and repairing (as necessary), so that PRODUCTS received by
the consumer shall be in first class condition.
在向顾客提供产品之前,产品的收货、开箱、检验、整理及修理(有必要时)将只在适宜的商店或仓库设施进行,以确保顾客得到质量上乘的产品。
e)
Maintain a customer service ( or similar) department to
ensure that all customer complaints are handled fairly and in a prompt,
courteous and efficient manner.
保持顾客服务(或类似)部门的运作,确保所有的顾客投诉得到公正、及时、周到及有效的处理。
f)
Develop adequate procedures to ensure that display
areas and PRODUCTS are properly maintained and that display areas contain
appropriate marketing materials.
建立足够的运作程序,以确保展区及产品得到合理维护,以及有合适的营销材料供客户获取。
g)
Maintain or hire a local professional repair facility
for the purpose of repairing minor damages or defects prior to delivery to the
consumer, and for the purpose of responding in a prompt, courteous and
efficient manner to consumer complaints after delivery.
设立或租用当地的专业维修设施,在向顾客供应产品之前对产品中出现的任何小的瑕疵进行修复,同时确保对顾客收货之后提出的投诉能得到公正、及时、周到及有效的处理。
h)
Purchase, or cause to be purchased, from BAKER at least
the minimum amount of PRODUCTS each calendar year as specified by BAKER.
由BAKER家具规定每个日历年度内必须从BAKER家具购买或订购的最少产品数量。
DEALER agrees to work closely with
the Director of International Sales to establish an agreed upon quota of
purchases, EXW, from BAKER, for each calendar year, as requested by Director
from time to time.
经销商同意与国际销售部主任紧密合作,由双方达成一致,制定每个日历年度内应从BAKER家具购买的数额,并按该主任日常的要求从工厂发火。
THIS MINIMUM PURCHASE QUOTA FOR CALENDAR YEAR 2005 FOR THE TRADING
AREA IS US$350,000.00.
2005年度的本贸易区最低购买额为35万美元。
The minimum quota for the year 2006
is agreed to be US$450,000.00.
双方同意,2006年的最低购买额为45万美元。
Dealer understands and agrees to
abide by the Baker’s Bona Fide Shippable Order Policy, appended hereto and
included by reference.
经销商知晓并同意履行BAKER家具的可装船订单真诚善意条款。附录中有此政策以供参考。
i)
Quote prices via telephone, facsimile, letter, e-mail
or otherwise to only those customers where delivery is within TRADING AREA, or
to customers of DEALER, anywhere in the world, who have purchased from dealer
within the previous 2 years prior to the date of a contemplated sale, or to
prospective customers who have physically visited the DEALER’s premises within
9 months prior to a contemplated sale.
通过电话、传真、信函、电子邮件或其它方式来报价,但只限于在贸易区内收货的顾客,或经销商在世界各地的客户,且这些客户在计划销售之日前的两年之内曾从经销商处购买过商品;或是曾在计划销售日前的九个月之内亲自到访经销商工作地点的潜在客户。
j)
Sell via telephone, facsimile, letter, e-mail or
otherwise to only those customers where delivery is within TRADING AREA
通过电话、传真、信函、电子邮件或其它方式向顾客销售产品,但只限于在贸易区内收货的顾客。

k)
Comply with the following credit and payment terms
established by BAKER.
履行以下由BAKER家具制定的信用与付款条款:
1.
DEALER agrees to provide BAKER with accurate,
up-to-date financial information reasonably requested.
BAKER家具提出合理要求时,经销商同意向BAKER家具提供准确、最新的财务信息。
2.
BAKER reserves the right to refuse to accept or ship
orders without prior notice in the event DEALER or its customers do not comply
with credit or payment terms or do not meet other financial requirements
established by BAKER.
如经销商或其客户未履行信用或付款条款,或未满足由BAKER家具明确的其它财务要求,BAKRE家具保留在不事先给于通知时就拒绝接受定单或发货的权利。
DEALER agrees neither it nor its customers will take
unearned cash discounts or other deductions from invoices unless authorized in
advance by BAKER.
经销商同意,经销商及其客户不得获取低于发票金额的不正当现金折扣或其它折扣,除非有BAKER家具事先授权。
3.
DEALER understands that all payment terms are Cash in
Advance or Acceptable Letter of Credit unless alternative arrangements are
agreed upon in advance by BAKER’s Credit Manager.
经销商知晓,除非BAKER家具的信用部经理事先同意采取其它方式,所有付款都须采取预付货款或可接受的信用证。
2. Trademarks:商标:
BAKER is the sole owner of its trademarks, trade names,
licensed marks, logos and the goodwill attached thereto (hereinafter
“Trademarks”).
BAKER家具是其商标、商业名称、许可商标、标志及商誉(以下简称为“商标”)的唯一拥有者。
DEALER
understands and agrees that inaccurate and improper use of the Trademarks will
result in damage, costs and injury to BAKER, and DEALER shall reimburse BAKER
for all damages, costs and injury related thereto.
经销商知晓并同意,不正确或不适当地使用商标将对BAKER家具带来损害、损失及伤害,因此经销商应就此相关的所有损害、损失与伤害给于BAKER家具赔偿。
3.
Advertising and Promoting广告与促销
The DEALER understands that quality advertisements and
promotions are essential to successfully sell the PRODUCTS.
经销商知晓,高质量的广告及促销对于产品的成功销售是必不可少的。
Consequently, DEALER agrees to
advertise or cause to be advertised, and promote or cause to be promoted,
PRODUCTS in the TRADING AREA by using catalogues, identifications, signage, ad
mats, and other point-of-sale literature, as well as placements of
advertisements in local print, television and radio media as appropriate and
agreed from time to time with BAKER.
