6.Provided always and it is hereby agreed and declared as follows:
倘若始终并特此同意及遵守以下条款:

(1) Re-Entry
租借收回

Notwithstanding and without prejudice to any other remedies and powers herein contained or otherwise available to the Landlord if the rents hereby reserved or any part thereof shall be unpaid for twenty one days after becoming payable (whether formally demanded or not) or if any covenant on the Tenant’s part or condition herein contained shall not be observed or performed or if the Tenant for the time being hereunder being a Company shall go into liquidation whether compulsory or voluntary (save for the purpose of reconstruction or amalgamation) or pass a resolution for winding up (save as aforesaid) or suffer a Receiver to be appointed or being an individual or being more than one individual any one of them shall have a Receiving Order made against him or become bankrupt or if the Tenant or if there shall be more than one Tenant any of them shall enter into composition with his or their creditors then and in any such case it shall be lawful for the Landlord at any time thereafter to re-enter upon the Demised Premises or any part thereof in the name of the whole and thereupon this demise shall absolutely determine but without prejudice to any right of action or remedy of either party in respect of any breach non-observance or non-performance of any of the covenants of the other or any conditions herein contained.

   如承租人未于应缴租金日之后的21天期间内缴纳全部或部分租金(无论对方是否就此提出正式要求)、或承租方的违约及未履行相关条件及义务、或承租方作为公司身份即将进入或强制或自愿的破产清算程序(因公司重组或兼并而作的重新评估除外)或停业协议已被通过(前述重组事宜除外)并且财产接收人已指定、或作为个人或多个个人的承租方,其中任何一人即将收到法院的破产接管令或已经破产、或即将就此债务与债权人达成庭外调解,则土地所有者为使自己得到补偿之任何权利不致受损,将拥有随时收回该“已死亡的地块出让”的全部或一部分之合法权利。此时,该地块出让应视为已被终止,但并不妨碍任何一方因对方违约及未遵守协议而采取行动或要求获得补偿的权利。

(2) Insurance
保险

At all times during the Term to insure and to keep insured the Building (including all fixtures therein but not Tenant’s trade fixtures) subject to such limitations or exclusions as the Insurers may impose in some insurance office of repute or with underwriters and through such agency as the Landlord shall from time to time decide with an endorsement of the interest of the Tenant and the Tenant’s mortgagee (if the Landlord is requested to arrange such an endorsement) in such sum as shall represent the full reinstatement value thereof (including Architects’ and Surveyors’ and other professional fees and incidental expenses) against loss or damage by the Insured Risks and against three years loss of rent from time to time payable hereunder pursuant to the provisions hereinbefore contained AND on demand will produce or procure the production to the Tenant of evidence of such insurance and of the payment of the last premium therefore AND as often as the Demised Premises shall be destroyed or damaged by any of the Insured Risks then save to the extent that payment of the insurance monies or any part thereof shall be refused by reason solely or in part of any act or default of the Tenant its Agents servants or any other person under its control and subject to the Landlord being able to obtain any necessary planning consents and all other necessary licences consents and approvals and all such materials and labour as may be necessary to lay out the entire proceeds of such insurance other than loss of rent insurance and Architects’ Surveyors’ and other professional fees and demolition clearance and similar expenses to rebuild repair and reinstate the Demised Premises as soon as practicable.

  土地所有者须按有名望的承保人开列的(或由保险商或该类保险机构施加的)限制及除外责任条款对该建筑物(包括所有附加设施,但不包括承租人的营业设备)在合同条款的所有规定期限内投保及维持保单效力,并及时按承租人的利益和按揭财产添加背书(如土地所有人被要求),其保险金额应能覆盖全部重建价值(包括支付给建筑师、鉴定人以及其它专业人士的相关费用和意外支出),及受保范围内的财产灭失及损害之风险,包括三年期间内按前述条款的规定应支付租金额之不支付风险。当承租人提出请求时,土地所有者须向其出示或提供该保单及上一次保费支付证据,以保障出让地块可能遭致的受保范围内的灭失或损害之风险。但因承租人或其代理人、雇员的行为或过失而全部或部分引起的保费将不予支付,包括土地所有者派出的、但由承租人所管辖的人员在办理该保险事宜的全过程中为获取及安排所有的计划、认可及必要的许可证、材料及人力时发生的行为与过错,但不包括租金损失的保险费用、建筑师检验员和其它专业人士的费用、以及为了在可能的条件下重建、修理、恢复出让地块的拆除及清场费用。

(3) Notice of Breach
违约通知

To permit the Landlord the Superior Landlord and their respective Agents or Surveyors with or without workmen and others and appliances upon giving Requisite Notice at all reasonable hours in the daytime during the Term to enter the Demised Premises or any part hereof to view the state and condition of the same and of all defects wants of reparation and breaches of covenants then and there found for which the Tenant is liable hereunder to give or leave on the Demised Premises notice in writing to the Tenant and within two months after every such notice or sooner if reasonably required to commence and diligently proceed to repair and to make good the same according to such notice and the covenants in that behalf herein contained to the reasonable satisfaction of the Landlord’s Surveyors AND if the Tenant shall fail to diligently and expeditiously continue to comply with such notice in all respects it shall be lawful (but without prejudice to the right of re-entry and forfeiture hereinafter contained) for the Landlord it Agents servants and workment to enter upon the Demised Premises and to carry out or cause to be carried out all or any of the works referred to in such notice and the reasonable and proper cost of so doing and all expenses incurred thereby together with interest at the rate of four per centum per annum above the base rate of HSBC Plc for the time being in force from the date of expenditure by the Landlord shall be paid by the Tenant to the Landlord on demand and shall be recoverable as rent in arrear

  允许土地所有者、土地所有者的上级,或他们各自的代理人及检验师,在提交通知单后携带或不携带工人或其它人员以及必要的设备,在合同期内的白天之任何时间进入出让地块或地块的一部分,检查场地内的情形,寻找随时随地存留在出让地块中的缺陷和违反合同的情况,以及应由承租人负责恢复的事项,并就该事项向承租人递交书面通知。在通知递交的两个月之内,这些缺陷应由承租人立即开始以勤勉原则、按通知及合同的规定予以修复并恢复原样,以使土地所有者的检验员满意。如承租人未按勤勉原则迅速按通知的所有要求行事,则土地所有者拥有派遣其代理、雇员和工人进入该出让场地的合法权利,并按通知中的内容实施或安排修复工作。由此种工作所发生的合理费用和支出,以及在汇丰银行当时的利率上加上每年4%的利息费用,将自土地所有者支付该费用的日期起计算,由承租人在接到要求后向土地所有者支付,或视作尚未支付、但应予支付的租金之一部分。
